What is DIR-3 KYC and why is it mandatory?
DIR-3 KYC is the annual Know Your Customer filing for all DIN holders. Introduced by MCA in 2018, it verifies that the personal details (name, address, mobile, email) associated with a DIN are current and accurate. Every person who has been allotted a DIN as of 31 March of a year must file DIR-3 KYC (or DIR-3 KYC-Web for annual renewal) by 30 April of the following year. Failure deactivates the DIN — the director cannot sign or authorise any MCA filing until KYC is done.
What is the due date for DIR-3 KYC?
The due date for DIR-3 KYC is 30 April every year for all DIN holders. For a DIN allotted during the financial year, the first KYC must be done within 30 days of DIN allotment. After 30 April, MCA deactivates non-KYC DINs. To reactivate, KYC must be filed with an additional fee of ₹5,000.
What is the difference between DIR-3 KYC form and DIR-3 KYC-Web?
DIR-3 KYC (full form) is filed the first time for a new DIN or when personal details (address, phone, email) change — requires DSC and CA certification. DIR-3 KYC-Web is a simplified annual renewal form (for subsequent years when details haven't changed) — no DSC required, only OTP verification via the director's registered mobile and email on MCA. Most annual KYC filings are done via the simpler KYC-Web form.
What happens if DIN is deactivated?
A deactivated DIN prevents the director from: signing any e-form on MCA21, filing DIR-12 (director changes), authorising ROC filings, acting as a signing authority for the company in MCA matters. The company's compliance is blocked until the DIN is reactivated. Reactivation: file DIR-3 KYC after 30 April with ₹5,000 penalty fee. DIN is typically reactivated within 24 hours of penalty payment and KYC filing.
Is DIR-3 KYC required for disqualified directors?
Yes. Even directors who have been disqualified under Section 164(2) of the Companies Act must file DIR-3 KYC annually for their DIN. Disqualification prevents them from being appointed as a director but does not exempt them from KYC obligation for their existing DIN. Similarly, retired or resigned directors who still hold a DIN must file annual KYC.
